Version: 3.1
Effective Date: 16.09.2026
1. Introduction
1.1 About These Terms and Conditions
These General Terms and Conditions ("Terms") govern the access to and use of the timelit platform ("timelit", "Service", "we", "us", "our") by you as an individual user and/or as a representative of a company or other legal entity ("Customer", "you").
By:
- creating an account,
- connecting your Microsoft 365 Work or School account, or
- accessing or using timelit in any way,
you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use timelit.
These Terms incorporate the timelit Data Processing Agreement, available at: Data Processing Agreement
The Data Processing Agreement governs our processing of Customer Content on your behalf and prevails over these Terms in the event of a conflict, as set out in Section 9.2.
These Terms are further accompanied by the timelit Privacy Policy, available at: Privacy Policy (Webapp)
The Privacy Policy is information provided under Articles 13 and 14 GDPR. It is not a contractual term.
1.2 Controller and Contracting Entity
The Service is operated by:
cronio FlexCo
Eileen-Gray-Gasse 2/24
1220 Vienna
Austria
Commercial Reg. Nr: FN 669759s
Email: support@timelit.ai
cronio FlexCo is the contractual partner. Its role under data protection law depends on the data concerned:
- for Customer Content (Section 2), cronio FlexCo acts as a processor on your behalf, on the basis of the Data Processing Agreement;
- for Account Data (Section 2), cronio FlexCo acts as an independent controller, as described in the Privacy Policy.
Section 9.2 sets out this allocation in full.
1.3 Microsoft Work/School Accounts and Use Types (B2B & B2C)
timelit is designed and provided for use exclusively with Microsoft Work or School accounts (Microsoft Entra ID / Azure AD).
You may use timelit:
- as a private individual (B2C) with your own Microsoft Work or School account, and/or
- as an employee or representative of an organization (B2B) using an account issued by that organization,
in both cases subject to these Terms and applicable law.
By using timelit, you represent and warrant that:
- you have a valid Microsoft Work or School account;
- if you use an account issued by an organization, you have obtained any internal authorization required to connect that account to timelit; and
- you understand that for certain permissions and features, your organization’s Microsoft Entra / tenant administrator must grant admin consent before timelit can access your data and provide the Service.
If you are under 16 years old, you must not use timelit.
Your status as a consumer under EU or national consumer law does not in itself prevent you from using timelit, provided you meet the requirements above.
1.4 Authority and Acceptance
If you accept these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "Customer" refer to that entity.
If you do not have such authority, you must not accept these Terms or use the Service on behalf of that entity. An individual who accepts without the required authority is personally liable for the resulting damage in accordance with § 1019 ABGB and shall indemnify cronio FlexCo against third-party claims arising from the absence of a valid contractual relationship with that entity.
A subsequent grant of administrator consent for the Service in the entity's Microsoft Entra ID tenant, or continued use of the Service by the entity after we have notified one of its tenant administrators, constitutes ratification within the meaning of § 1016 ABGB with retroactive effect.
We may at any time require confirmation of the acceptance from a tenant administrator of the entity concerned, and may suspend the affected Accounts if that confirmation is not provided within a reasonable period stated in our request.
2. Definitions
In addition to terms defined elsewhere in these Terms, the following definitions apply:
- "Account" means an individual user account created for access to the Service via a Microsoft Work or School identity.
- "Customer Content" means the data, content, and information that is imported, uploaded, synchronised, or otherwise made available to the Service by or on behalf of the Customer, and data derived from it: mailbox content and attachments, calendar entries, contacts, meeting audio and transcriptions, prompts submitted to and content generated by the AI features, and the summaries, categorisations and embeddings derived from any of these. We process Customer Content as a processor, on your behalf, under the Data Processing Agreement.
- "Account Data" means account and identity records, subscription and billing data, product telemetry, security and audit logs, configuration of the Service, and data processed to prevent abuse of the Service. We process Account Data as an independent controller, as described in the Privacy Policy.
- "Customer Data" means Customer Content and Account Data together.
- "User" means an individual natural person authorized by Customer to access and use the Service under Customer’s account (e.g., employees).
- "Output" means any AI-generated drafts, summaries, recommendations, categorizations, or other content produced by the Service based on Customer Data or user inputs.
- "Third-Party Services" means external services integrated into or used with the Service, such as Microsoft 365, Microsoft Graph, Azure OpenAI, Azure AI Speech, and Stripe. The sub-processors we engage are listed at Sub-processors.
- "Subscription" means a paid access plan to the Service as described in Section 7.
3. Service Description
3.1 What timelit Does
timelit is an AI-powered productivity and automation platform for Microsoft 365 business users. It provides features that may include (depending on your configuration and plan):
- Email automation & drafting: automatic categorization and AI-generated draft replies.
- Meeting assistance: meeting scheduling, meeting summaries, action extraction.
- Knowledge & search: indexing and semantic search across emails, summaries, and related content.
- Daily briefings & automation: daily overviews and background automations to reduce “work around work”.
timelit connects to your Microsoft 365 tenant via Microsoft Graph API and processes business email, calendar, and related content as described in the Privacy Policy.
3.2 No Professional Advice
timelit may generate content related to legal, financial, HR, technical, or other topics. Such content is for informational and productivity purposes only and does not constitute:
- legal advice,
- financial advice,
- medical advice,
- or any other professional advice.
You remain fully responsible for reviewing and validating all Output before acting on it or sharing it.
4. Account Registration and Access
4.1 Eligibility
To use timelit:
- you must have a valid Microsoft Work or School account;
- you must be at least 16 years old; and

You can use timelit as a private individual (B2C) or on behalf of an organization (B2B), as long as these conditions are met.
4.2 Account Creation and Microsoft Sign-In

- agree to keep your Microsoft account secure and under your control.
We may require administrator consent at tenant level to enable certain features and scopes.
4.3 Customer’s Responsibilities
You are responsible for:
- ensuring you have the right to connect your Microsoft tenant and content to timelit;
- ensuring that your use of the Service complies with all internal company policies and all applicable laws;

- Use the Service to infringe any intellectual property rights, privacy rights, or other rights of third parties.
We reserve the right to monitor usage (in a privacy-preserving manner) to ensure compliance with these Terms.
5.3 Suspension
We may suspend or limit access to the Service immediately, with or without notice, if:
- we reasonably believe you are in breach of these Terms;
- your use of the Service poses a security or legal risk;
- required by law or by a request of a competent authority;
- necessary to protect the stability or security of the Service.
We will make reasonable efforts to inform you of the reason for suspension and, where possible, provide an opportunity to remedy the issue.
6. Customer Data & Intellectual Property
6.1 Ownership of Customer Data
As between you and us:
- Customer retains all rights, title, and interest in and to Customer Data, including personal data contained therein.
- cronio FlexCo does not claim ownership of the contents of your emails, calendar entries, or meeting transcripts.
6.2 License to Customer Data
You grant cronio FlexCo a limited, non-exclusive, worldwide, royalty-free license to:
- access, use, host, store, process, and transmit Customer Content, solely as necessary to provide, maintain and secure the Service and strictly in accordance with your documented instructions under the Data Processing Agreement; and
- access, use, host, store, process, and transmit Account Data, as necessary to provide, maintain, secure and improve the Service, as described in the Privacy Policy.
We do not process Customer Content for our own purposes, including product improvement. We do not use Customer Content to train any model, whether our own or a third party's.
6.3 Outputs
Subject to these Terms and applicable law:
- You may use the Outputs (drafts, summaries, categorizations, etc.) generated by the Service for your personal or internal business purposes.
- To the extent the Outputs incorporate or are derived from Customer Content, they are treated as Customer Content.
- We may use information about usage patterns to improve the Service only where it contains no Customer Content and is anonymous within the meaning of Recital 26 GDPR, so that neither the Customer nor any individual can be identified from it.
- You remain responsible for reviewing and validating Outputs before relying on or sharing them.
6.4 timelit Intellectual Property
All rights, title, and interest in and to:
- the Service,
- the underlying software, models, and infrastructure,
- all trademarks, logos, and brand elements, and
- all documentation and other materials provided by us
are and remain the exclusive property of cronio FlexCo or its licensors.
No intellectual property rights are transferred to Customer except as expressly granted in these Terms.
6.5 Feedback
If you provide feedback, suggestions, or ideas ("Feedback") about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use such Feedback for any purpose, including improving the Service and developing new products, without any obligation to you.
7. Subscriptions, Fees, and Payment
7.1 Subscription Plans
timelit may be offered via different plans, which may include:
- Free or Trial Plan with limited functionality and/or usage;
- Pro Plan at a specified monthly or annual fee;
- Teams or Enterprise Plans with extended features and higher limits.
Plans may be offered with monthly or annual billing. Annual billing is charged once in advance for a 12-month term and is offered at a discount compared to the equivalent monthly billing for the same plan.
Plan details (features, limits, prices) are described on our website or within the app and may be updated from time to time.
7.2 Billing and Payment
- All prices are in euros inclusive of VAT. They only apply to the present order. The prices quoted are ex the Contractor's registered office or place of business. The costs of additional services any contract fees shall be invoiced separately.
- Subscription fees are billed via Stripe (or another payment provider indicated by us).
- Unless otherwise agreed in writing, fees are in EUR and inclusive of VAT and other taxes, which may be added as required by law.
- Payment is due in advance for each billing period (monthly or annually, as selected).
- For annual plans, the full fee for the upcoming 12-month term is charged in advance via Stripe at the start of each term.
By subscribing, you:
- authorize us and our payment processor to charge all applicable fees to your chosen payment method;
- represent that you are authorized to use that payment method.
7.3 Auto-Renewal
- Subscriptions generally auto-renew at the end of each billing period unless cancelled (see 13. Termination).
We may change Subscription fees. Fee changes will become effective at the start of the next billing period after notification, and you may cancel before the increased fees apply.
7.4 Plan Changes (Upgrades, Downgrades, and Switching Billing Periods)
You may request to change your plan, number of seats, or billing period at any time via the account management interface or by contacting support, subject to plan availability.
- Upgrades (e.g., to a higher plan or additional seats) take effect immediately. The additional fee for the remainder of the current billing period is charged on a prorated basis via Stripe.
- Downgrades take effect at the start of the next billing period; no refund is owed for the current period.
- Switching from an annual plan to monthly billing takes effect at the end of the current annual term. Where we enable an earlier switch, the unused, prepaid portion of the annual fee is converted into non-refundable account credit and offset against your future monthly fees until the credit is exhausted. Such credit cannot be paid out in cash and is not otherwise refundable.
- Switching from monthly to annual billing starts a new 12-month term, charged in advance via Stripe at the applicable annual rate.
7.5 Refunds
Unless otherwise required by mandatory applicable law (including mandatory Austrian consumer protection law) or expressly agreed:
- Fees are non-refundable, including for partially used periods, downgrades, or non-use of the Service.
- In particular, prepaid annual fees are not refunded in cash. Where you switch to monthly billing before the end of an annual term, the account-credit mechanism in Section 7.4 applies instead.
- Where you are a consumer, any statutory right of withdrawal is governed by Section 7.6 below.
- In case we permanently discontinue the Service or materially breach these Terms, we may, at our discretion, provide a prorated refund of prepaid fees.
7.6 Consumer Right of Withdrawal
Where you use timelit as a consumer within the meaning of the Austrian Consumer Protection Act (Konsumentenschutzgesetz – KSchG), you may have a statutory right to withdraw from a distance contract within fourteen (14) days under the Austrian Distance and Off-Premises Transactions Act (Fern- und Auswärtsgeschäfte-Gesetz – FAGG).
By subscribing and requesting that the Service begin immediately (including any free trial that converts into a paid Subscription), you expressly consent to the commencement of performance before the end of the withdrawal period and acknowledge that you lose your right of withdrawal once we have begun to fully perform the Service, in accordance with § 18 FAGG. Beyond such mandatory statutory rights, refunds and plan changes are governed by Sections 7.4 and 7.5.
7.7 Taxes
You are responsible for all applicable taxes, duties, and governmental charges associated with your use of the Service, except for income taxes payable by cronio FlexCo.
8. Third-Party Services
8.1 Microsoft and Other Integrations
timelit integrates with Microsoft 365 and uses services such as:
- Microsoft Graph API
- Azure OpenAI, provided from a resource in the EU region Sweden Central. The model deployments currently use a global deployment type, which means that inference may be executed in other regions; this is described in Annex II of the Data Processing Agreement.
- Azure AI Speech, for transcription of uploaded and recorded meeting audio
- other Azure services (App Service, Cosmos DB, Blob Storage, Application Insights)
You acknowledge that:
- your use of Microsoft 365 and related services is subject to Microsoft’s own terms and privacy policies;
- we are not responsible for any unavailability, changes, or limitations of Third-Party Services;
- certain features of timelit require that these Third-Party Services are available and properly configured.
8.2 Relationship with Third-Party Providers
We do not have control over Third-Party Services and are not responsible for:
- their performance,
- their terms of use or privacy practices,
- or any damages or losses caused by them.
We are not affiliated with or endorsed by Microsoft beyond standard partner or customer relationships.
9. Data Protection and Security
9.1 Privacy Policy
Processing of personal data in connection with the Service is described in our Privacy Policy, available at: Privacy Policy (Webapp)
The Privacy Policy is information provided under Articles 13 and 14 GDPR. It is not a contractual term, not an instruction under the Data Processing Agreement, and not a consent. By using the Service you acknowledge it.
9.2 Roles and Responsibilities (GDPR)
Customer Content. You are the controller of Customer Content. cronio FlexCo acts as your processor and processes Customer Content only on your documented instructions. That processing is governed by the Data Processing Agreement, which incorporates the Standard Contractual Clauses adopted by the European Commission under Article 28(7) GDPR in Implementing Decision (EU) 2021/915.
The Data Processing Agreement forms part of these Terms and is concluded electronically as permitted by Article 28(9) GDPR. In the event of a conflict, the order of precedence set out in Section A.3 of that agreement applies, under which its clauses prevail over these Terms.
Account Data. cronio FlexCo acts as an independent controller for Account Data, as described in the Privacy Policy.
Customer responsibilities. Section A.7 of the Data Processing Agreement sets these out in full. In summary, you are responsible for:
- establishing and documenting a legal basis for the processing of Customer Content, including the data of persons who are not your Users;
- providing the information required by Articles 13 and 14 GDPR to Users and other data subjects;
- informing meeting participants that they are being recorded or transcribed and obtaining any consent required, including under national criminal law;
- consulting and, where required, obtaining the agreement of employee representative bodies before introducing the Service;
- establishing a legal basis under Article 9(2) GDPR where special categories of personal data are processed;
- complying with all applicable data protection laws in your own processing.
9.3 Security
The technical and organisational measures we apply are described concretely in Annex III of the Data Processing Agreement, which is the single authoritative description of those measures. Where any other document describes our security measures, Annex III prevails.
However, no system is completely secure. You acknowledge that residual risk is inherent in all internet-based services.
10. Warranties and Disclaimers
10.1 Service Level and Availability
Unless expressly agreed in a separate written Service Level Agreement (SLA):
- the Service is provided on a commercially reasonable efforts basis;
- we do not guarantee a specific uptime, response time, or performance level;
- temporary downtimes may occur for maintenance, updates, or due to third-party or network issues.
10.2 AI and Output Disclaimer
You acknowledge and agree that:
- AI-generated content may be inaccurate, incomplete, or misleading;
- the Service may hallucinate facts or misunderstand context;
- you must review, verify, and validate all Outputs before using or relying on them.
timelit is not a substitute for professional judgment or professional advice.
10.3 General Disclaimer
To the maximum extent permitted by law, cronio FlexCo provides the Service:
- "AS IS" and "AS AVAILABLE",
- without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:
- warranties of merchantability,
- fitness for a particular purpose,
- non-infringement,
- or that the Service will be error-free, uninterrupted, or secure.
11. Limitation of Liability
The Contractor shall only be liable to the Client for damage for which it is demonstrably responsible in the event of gross negligence. This shall also apply mutatis mutandis to damage attributable to third parties engaged by the Contractor. The Contractor’s liability shall be unlimited in all events of personal injury.
11.1 Exclusion of Certain Damages
To the maximum extent permitted by applicable law, in no event shall cronio FlexCo be liable for:
- indirect, incidental, special, punitive, or consequential damages,
- loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill,
- even if advised of the possibility of such damages,
- arising out of or in connection with the use of or inability to use the Service.
11.2 Aggregate Liability Cap
To the maximum extent permitted by law, cronio FlexCo’s aggregate liability arising out of or relating to the Service and these Terms, whether in contract, tort (including negligence), or otherwise, shall be limited to:
10% of the order value per damage or up to a limit of the total amount of fees actually paid by Customer to cronio FlexCo for the Service during a twelve (12) months period.
If you use the Service under a free plan, our aggregate liability is limited to EUR 100.
11.3 Data Protection Claims
The limitations in this Section 11 do not apply to:
- claims of data subjects under Article 82 GDPR;
- administrative fines imposed directly on a Party by a supervisory authority;
- liability that cannot be limited under mandatory law, including personal injury, intent, and the mandatory provisions of the Austrian Consumer Protection Act (KSchG).
The reduced free-plan cap in Section 11.2 does not apply to claims arising out of the processing of Customer Content. For those claims, Section A.9 of the Data Processing Agreement applies.
12. Indemnification
Customer agrees to indemnify, defend, and hold harmless cronio FlexCo and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Customer’s or Users’ use of the Service in violation of these Terms, applicable law, or third-party rights;
- Customer Content, including any content provided or made available by Customer that is unlawful or infringes third-party rights;
- Customer’s failure to provide required notices or obtain necessary consents from data subjects.
13. Termination
13.1 Term
These Terms remain in effect from the moment you first use the Service until:
- your Subscription is terminated, and
- all access to the Service is discontinued.
13.2 Termination by Customer
Customer may terminate:
- a Subscription in accordance with its cancellation terms (Section 7.3);
- the entire agreement by deleting all accounts and discontinuing use.
You may terminate your Subscription at any time via the account management interface or by contacting support. Cancellation will take effect at the end of the current billing period; you will retain access until then.
- For monthly payments: Payment period March 17th to April 17th, termination request on March 25th, cancellation takes effect on April 17th.
13.3 Termination by cronio FlexCo
We may terminate or suspend your access to the Service, in whole or in part, if:
- you materially breach these Terms and fail to cure such breach within a reasonable period after notice;
- you use the Service in a way that causes legal, security, or operational risk;
- you fail to pay applicable fees;
- we decide, in our reasonable discretion, to discontinue the Service.
In case of a permanent discontinuation of the Service, we will make reasonable efforts to:
- provide advance notice, and
- offer a data export option where technically feasible.
13.4 Effects of Termination
Upon termination:
- all rights granted to you under these Terms immediately cease;
- your access to the Service will be disabled;
- we will delete Customer Content in accordance with Clause 10(d) of the Data Processing Agreement and the 30-day export and deletion period set out in Section A.8 of that agreement;
- we will retain Account Data only for as long as described in the Privacy Policy or as required by law.
Sections that by their nature should survive termination (e.g., confidentiality, IP, limitation of liability, indemnity, governing law) will continue to apply.
14. Changes to the Service and to These Terms
14.1 Changes to the Service
We may improve, modify, or discontinue certain features or functionalities of the Service at any time, including for:
- technical improvements,
- legal or security reasons,
- business or product decisions.
Where changes significantly reduce the core functionality of a paid plan, we will make reasonable efforts to notify you in advance.
14.2 Changes to the Terms
We may update these Terms from time to time. When we do:
- we will update the "Last Updated" date at the top;
- for material changes, we will provide reasonable notice via the Service and/or email.
If you continue to use the Service after the updated Terms become effective, you will be deemed to have accepted them. If you do not agree with the updated Terms, you must stop using the Service.
This does not apply to the Data Processing Agreement. Because Article 28(9) GDPR requires that agreement to be in writing, a material change to it requires your active acceptance of the new version; continued use is not sufficient. Section A.11 of that agreement governs how it may be changed.
15. Governing Law and Jurisdiction
15.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with:
The laws of Austria, excluding its conflict-of-law rules and excluding the provisions of the UN Convention on Contracts for the International Sale of Goods (CISG).
15.2 Jurisdiction
The courts of Vienna, Austria (Innere Stadt) shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms or the Service, without prejudice to any mandatory rights to bring claims before other courts under applicable law.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with the Data Processing Agreement and any order form or subscription description, constitute the entire agreement between you and cronio FlexCo regarding the Service and supersede any prior agreements or understandings. The Privacy Policy is information, not part of that agreement.
16.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid one that comes closest to the original intent.
16.3 No Waiver
Failure by cronio FlexCo to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
16.5 Notices
We may provide notices to you via:
- the timelit interface,
- email to the address associated with your account, or
- other reasonable means.
You may send legal notices to:
